1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of oldnight.shop and any purchase you make from Old Night, a brand operated by R.E. Michlovich Yeutz Ltd, Company Number 515575264 ("Old Night", "we", "us", or "our"). By accessing the Site or placing an order, you agree to these Terms, including the binding arbitration and class action waiver in Section 15. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract, to purchase from the Site. By ordering, you confirm that you meet these requirements and that the information you provide is accurate.

3. Your account and information

If you create an account, you are responsible for keeping your login details secure and for all activity under your account. You agree to provide accurate, current, and complete information, including a correct shipping address.

4. Products, descriptions, and availability

We try to describe and display our products accurately, but we do not warrant that descriptions, colors, images, pricing, or other content are error free, complete, or current. Screens may display colors differently. Products are subject to availability, and we may limit quantities, discontinue products, or refuse service at our discretion.

5. Pricing and errors

Prices are in US dollars unless stated otherwise and may change at any time. Despite our efforts, products may occasionally be mispriced or described incorrectly. If we discover an error affecting your order, we may cancel the order and refund any amount paid, even after an order confirmation was sent.

6. Orders and acceptance

Your order is an offer to buy. Our order confirmation acknowledges receipt but does not guarantee acceptance. We may accept or decline any order, in whole or in part, and may cancel an order for reasons including stock issues, pricing or description errors, payment problems, or suspected fraud or abuse. If we cancel after you have paid, we refund the affected amount.

7. Payment

You authorize us and our payment processors to charge your chosen payment method for the total order amount, including taxes and any applicable fees. You represent that you are authorized to use the payment method provided.

8. Promotions and discount codes

Discounts, coupons, and promotions are subject to their stated terms, cannot be combined unless we say so, have no cash value, and may be modified or withdrawn at any time.

9. Shipping, returns, and refunds

Delivery is governed by our Shipping Policy, and cancellations, returns, and refunds by our Refund and Return Policy. Both are posted on the Site and incorporated into these Terms by reference. Please read the Refund and Return Policy carefully, as returns for change of mind are sent at your cost to the return address we provide, which may be international.

10. Health and wellness disclaimer

Our blue light glasses and lighting products are general wellness products, not medical devices. They are not intended to diagnose, treat, cure, or prevent any disease, and they have not been evaluated by the US Food and Drug Administration. Nothing on the Site is medical advice. See our full Disclaimer.

11. Acceptable use

You agree not to use the Site unlawfully, to interfere with its operation or security, to introduce harmful code, to scrape or copy content without permission, to infringe others' rights, or to attempt unauthorized access to any part of the Site or its systems.

12. User content

If you submit reviews, photos, or other content, you grant us a non‑exclusive, worldwide, royalty free, transferable license to use, display, reproduce, and adapt that content in connection with our business and marketing. You are responsible for the content you submit and confirm you have the right to share it.

13. Intellectual property

All content on the Site, including the Old Night name, logo, text, graphics, images, and design, is owned by us or our licensors and is protected by intellectual property laws. You may not use it without our prior written permission.

14. Disclaimer of warranties

To the fullest extent permitted by law, the Site and products are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement, except for any warranty that cannot be excluded under applicable law. We do not warrant that the Site will be uninterrupted, secure, or error free.

15. Limitation of liability

To the fullest extent permitted by law, Old Night and R.E. Michlovich Yeutz Ltd, and our officers, employees, and partners, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Site or products. Our total liability for any claim will not exceed the amount you paid for the product that gave rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Old Night and R.E. Michlovich Yeutz Ltd from any claims, damages, losses, and expenses, including reasonable legal fees, arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third‑party right.

17. Dispute resolution, binding arbitration, and class action waiver

Please read this section carefully. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our products will be resolved by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court. You and we waive any right to a jury trial and any right to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by emailing us within 30 days of your first purchase, stating that you opt out. If any part of this section is found unenforceable, the remainder will still apply, except that the class action waiver is not severable. [Confirm the arbitration administrator, rules, and seat with a US attorney before publishing.]

18. Force majeure

We are not responsible for delays or failures to perform caused by events beyond our reasonable control, including carrier delays, supplier disruptions, customs, natural events, strikes, or governmental actions.

These Terms are governed by the laws of the State of Israel, without regard to conflict of law rules, and without limiting any mandatory consumer protection rights available to you in your place of residence.

20. Changes, severability, and entire agreement

We may update these Terms at any time by posting the revised version with a new date. If any provision is held invalid, the remaining provisions stay in effect. These Terms, together with the policies referenced here, are the entire agreement between you and us regarding the Site.
